Under the Companies Act 2013, it’s imperative for a company to declare and register its office address with the Ministry of Corporate Affairs (MCA). However, circumstances may necessitate a change in this registered office, and such modifications are subject to specific procedures depending on the nature of the change.

Procedures for Change:
Same City: Notify the ROC through relevant forms within 15 days.
Same State and Same ROC: Pass a special resolution during an EGM/AGM. Or Gain approval from the registered office.
Same State but Different ROC: Same steps as within the same state and ROC. Or Additional approval from the Regional Director of the ROC.
One State to Another: Obtain Regional Director’s approval.
Types of Changes:
1.Within the Same City:
Notify the ROC by filing the relevant forms within 15 days of the change.
2.Within the Same State and Same ROC:
Pass a special resolution during an Extraordinary General Meeting/Annual General Meeting, with subsequent approval from the registered office.
3.Within the Same State but Different ROC:
Follow the same process as within the same state and ROC. However, an additional approval from the Regional Director of the ROC is required for the shift between jurisdictions.
4.From One State to Another:
Obtain approval from the Regional Director of the ROC, as it involves the central government’s sanction for the change in the registered office from one state to another.
